wild pig stand on the knees and ask for help, a list of problems I dont' know how to answer regarding tax planning. it's due tomorrow morning, please help.


If a shareholder has 20,000 shares of Microsoft Corporate stock, how can she structure her financial affairs so that she will not pay tax on the stock?









What is a thinly capitalized company?





A thinly capitalized corporation is funded with only a few assets. Thinly capitalized corporations sometimes make it impossible for plaintiffs to recover, since the corporation is the only entity which can be held liable.? (not sure about this)









How will the IRS treat interest payments to a shareholder who lends money to a corporation which is thinly capitalized? How would you plan to avert the disastrous outcome?








Donald trump creates a new film company, makes a feature film about his life story and before it is set for theatrical release; he sells his film company to mark burnett, his co-executive producer on the apprentice TV show. How will the IRS Characterize this transaction, and will IRS treat this transaction?








Don biederman decides to establish his own corporation involved in music publishing. He has little money of his own, what would be the optimal source of financing for his new company?








Assume in the above that don contributes appreciated land which he owns to the corporation. For 2004, he has substantial capital losses. How should Don structure the contribution to maximize the tax effect to him?








Assume instead Don has substantial capital gains rather than losses. How should he structure the contribution transaction?

(not sure about this) 俺觉得答案是yes. for corporation, the assets are all you can claim.


How will the IRS treat interest payments to a shareholder who lends money to a corporation which is thinly capitalized? How would you plan to avert the disastrous outcome? -----------I would think it is capital gain. Interest from banks would be regular income.

How should he structure the contribution transaction?-----I think you can either use as real estate gain, which may be subject to some tax exemption. or you still claim capital gain, which has 15% tax rate, instead of 28% or more for normal income.
